Terms of Service

1. Acceptance of Terms

By accessing or using the Cohdesk platform and services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the Service. These Terms constitute a legally binding agreement between you and Cohdesk Ltd.

2. Description of Service

Cohdesk provides a trading automation platform that enables users to:

• Connect to supported brokers via secure OAuth connections
• Create automated trading bots based on external signals (e.g., TradingView webhooks)
• Configure exit strategies including multi-level take profits and stop-losses
• Monitor positions and analyze trading performance
• Test strategies using paper trading simulation

The Service is a software tool that executes trades based on your configurations. We do not make trading decisions on your behalf or provide recommendations.

3. Eligibility

To use the Service, you must:

• Be at least 18 years old
• Have the legal capacity to enter into a binding agreement
• Have a valid brokerage account with a supported broker (for live trading features)
• Ensure your use of the Service complies with all applicable laws and regulations in your jurisdiction
• Not be located in a jurisdiction where use of the Service would be prohibited

4. Account Registration and Security

You are responsible for:

• Providing accurate and complete registration information
• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Ensuring your bot configurations are accurate and appropriate for your risk tolerance
• Regularly monitoring your automated trades and positions
• Compliance with your broker's terms of service

5. Trading Risks

You expressly acknowledge and agree that:

• Trading securities, options, and other financial instruments involves substantial risk of loss
• You could lose some or all of your invested capital
• Automated trading does not guarantee profits and may result in significant losses
• Technical issues, connectivity problems, system failures, or market conditions may affect trade execution
• Past performance of any strategy, system, or methodology does not guarantee future results
• You are solely responsible for your trading decisions and their financial consequences
• You have sufficient knowledge and experience to evaluate the risks of automated trading

6. Service Availability and Performance

While we strive to provide reliable service:

• We do not guarantee uninterrupted or error-free service
• The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control
• We are not liable for any losses resulting from service interruptions, delays, or errors
• Execution timing and prices are subject to broker systems and market conditions

7. Subscription and Payments

• Paid subscriptions are billed in advance on a monthly or annual basis
• Subscriptions automatically renew unless cancelled before the renewal date
• You may cancel your subscription at any time through your account settings
• Refunds are provided at our discretion and in accordance with applicable law
• We reserve the right to change pricing with at least 30 days notice
• The Free plan is provided as-is and may be modified or discontinued at our discretion

8. Prohibited Uses

You may not:

• Use the Service for any illegal purpose, including market manipulation or fraud
• Attempt to reverse engineer, decompile, or compromise the Service
• Share your account credentials or resell access to the Service
• Interfere with other users' use of the Service
• Misrepresent your identity or affiliation
• Use the Service in a way that violates your broker's terms
• Transmit malicious code or attempt to gain unauthorized access

9. Intellectual Property

The Service, including all content, features, functionality, software, and documentation, is owned by Cohdesk Ltd and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose during your subscription term.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COHDESK LTD AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO TRADING LOSSES, LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY. OUR TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED POUNDS STERLING (£100).

12. Indemnification

You agree to indemnify, defend, and hold harmless Cohdesk Ltd and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of the Service, your trading activities, your violation of these Terms, or your violation of any third-party rights.

13. Termination

We may suspend or terminate your account at any time for violation of these Terms or for any other reason at our reasonable discretion with notice where practicable. You may cancel your account at any time through your account settings. Upon termination, your right to use the Service ceases immediately, and any open positions or pending orders will need to be managed directly with your broker.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes via email or platform notification at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the London Court of International Arbitration, except that either party may seek injunctive relief in any court of competent jurisdiction.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
